Company Secretary – Cloud/Telco multinational – London or Remote

An experienced Company Secretary is required to join a dynamic and market-leading technology provider of niche cloud/telecoms systems. This role will be mainly remote based with offices across the globe where you must demonstrate initiative to work autonomously with close attention to detail.This opportunity offers considerable autonomy and responsibility to ensure corporate requirements in all jurisdictions are maintained, and notifications and returns are filed correctly and meet deadlines. You will report to the Head of Legal who is a highly respected International Lawyer with an excellent reputation in the legal telco and cloud community. This position is ideal for a Company Secretary who is pragmatic with the ability to cope with last-minute commercial issues and has a natural ability to proactively own and manage the company secretarial function.While the senior management team is UK based, you will have regular interaction with the EMEA and APAC offices as their customers comprise of the world’s largest global telecommunications and content providers along with a broad range of global tech corporations and household names. You will focus on preparing board and shareholder minutes and resolutions whilst managing and maintaining all corporate registrations, including trade registers. As CoSec you will assist the Head of Legal on all statutory registers, completing and filing confirmation statements, notifications of appointment and removal of officers, and annual returns. You will oversee the process for the preparation, review and finalisation of board papers. Regular liaison with notaries to assist with witnessing and signature of documents. Coordinate and manage board and management meetings with the requirement of acting as the directorship of a small number of subsidiary companies.As well as company secretarial activities, this role will offer an array of interesting work ranging from maintenance of telco licences in various jurisdictions, as well as other regulatory registrations (e.g. AML and ICO).Candidates must have a minimum of 5yrs Company Secretary experience and be ideally ICSA qualified or Part ICSA qualified with legal experience gained as a solicitor or paralegal. Applications with evidence of Telecoms experience, engineering or manufacturing-related industry would be advantageous. It would really benefit the legal team if the candidate was bilingual (ideally French and/or German) however, native/excellent written and spoken English is essential. Knowledge of corporate obligations in the UK, Bermuda, Europe, USA, Middle East and Asia, or the ability and willingness to learn and research accordingly would be really advantageous.As this position is an urgent requirement, it would be great if candidates are available for an immediate start with a reduced notice period. Legal Counsel – ATP MEDIA

- Drafting, reviewing and leading or assisting negotiations on:
- media rights agreements with global broadcast partners operating on a variety of platforms;
- data rights agreements for ATP Media and its affiliate data business with global betting companies and other entities looking to acquire official data;
- technical, facilities and service contracts relating to production and delivery of content for ATP Media and its affiliate data business;
- all contracts related to Tennis TV including licensing agreements, social media influencer agreements and platform hosting agreements; and
- general agreements for the business including NDAs, framework agreements, simple licenses;
- Assisting the General Counsel and Senior Lawyer with managing the company’s regulatory obligations including:
- advising on GDPR requirements for the business and specific data protection drafting for use in the suite of contracts that the company enters into;
- IR35 obligations the company may have noting its use of freelancers;
- General corporate governance to ensure ATP Media maintains a best in breed corporate governance structure that is robust yet efficient; and
- advising on media, data, betting and commercial regulatory changes that may affect the business;
- Assisting the General Counsel and Senior Lawyer in managing and running commercial tender processes whether for rights sales or supplier services, notably by drafting RFPs;
- Advising a variety of stakeholders, internal and external, and working with all areas of the business; and
- Ensuring the team completes its annual training and professional development objectives.
- Between 1 – 3 years PQE.
- Previous in-house experience (via permanent role or secondment) not essential but may be beneficial.
- Preferably City trained.
- Be confident and a self-starter able to use initiative.
- Have excellent drafting and negotiating skills whilst being highly commercially aware.
- Have a broad range of experience across both commercial and regulatory sectors.
- Experience working on the exploitation of sports media/data rights preferable but not essential.
- Ability to articulate complex legal matters to various stakeholders both internally and externally.

Latam Legal Counsel – Dublin (Fintech)

A leading Fintech business requires an experienced Latam Lawyer to work within the EMEA legal team in Dublin where you will report to the General Counsel. You will act as the primary lawyer for the Latam/South American business and will have regular interaction on global legal projects. The ideal candidate will have 5yrs+ PQE (Ideally Brazilian qualified) and must be fluent in native Portuguese whilst Spanish would be advantageous.The RoleYou will provide strategic legal advice to the EMEA General Counsel (based in Dublin) and assist in establishing an effective Board structure and company secretary function in Brazil including the LATAM region. The successful candidate will be required to establish controls for corporate compliance obligations and to prepare statutory filings whilst dealing with queries from all parts of the business including corporate development, finance, tax, compliance as well as external queries from auditors, potential investors, etc. There is a considerable level of Company Secretary work required as part of this role where you will manage the administration of all Board meetings including the board pack, agenda and maintain the minute book along with statutory registers and records. In addition, you will assist with establishing new group entity formations and incorporations.The CandidateThe ideal candidate will be already based in Dublin working for a Latam / South American Desk and be Brazilian Qualified. Alternatively, EU qualified lawyers (ideally Portuguese Qualified) with thorough evidence of Latam Legal experience gained from a leading international Law Firm or tech corporation would suffice.
